Terms of Service.

1. Acceptance of Terms

By accessing or using the website of Xalside Solutions (https://xalside.com) or entering into an agreement for our infrastructure and software services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Scope of Services

Xalside Solutions provides professional technology consulting, structured cabling, network hardware deployment, custom software development, and ongoing maintenance agreements. All specific engineering deliverables, project milestones, warranties, and service level agreements (SLAs) are defined in individual Statements of Work (SOW) executed between Xalside Solutions and the client.

3. Intellectual Property Rights

Unless otherwise explicitly agreed in a Master Services Agreement:

• Client Deliverables: Upon full payment of all contracted invoices, bespoke software code and physical cabling infrastructure created specifically for the client become the property of the client.
• Pre-existing IP & Tools: Xalside Solutions retains ownership of all pre-existing libraries, proprietary deployment scripts, internal workflows, and foundational developer tools.
• Website Content: All brand marks, diagrams, graphics, copy, and layout designs on this website are the intellectual property of Xalside Solutions.

4. Client Responsibilities

For on-site physical infrastructure installations, clients agree to provide reasonable physical access, designated rack space, safe power connectivity, and authorized escorts where required. For software development, clients agree to provide timely feedback and necessary third-party API credentials.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Xalside Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from network downtime, third-party ISP failures, hardware manufacturer defects, or unauthorized external intrusion beyond our reasonable control.

6. Governing Law & Inquiries

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Somalia, without regard to its conflict of law principles. For legal or contractual questions, reach out to contact@xalside.com.
